录用与劳动合同CONDITIONS OF EMPLOYMENT AND LABOR CONTRACT

一、录用条件Conditions of Employment

1. 身体健康,无精神病、传染病及其他影响工作的疾病,女职工不处于怀孕及哺乳期内,能保证正

常工作。

You should be healthy, no any diseases such as lunacy or contagion that affects normal works. Female employees are not in pregnancy or lactation period.

2. 各方面表现良好,没有吸毒、斗殴等各种劣迹,无任何刑事、行政或人事处罚记录,富有爱岗

敬业精神。

Good performance in all aspects, no bad behavior such as Drug Abuse, fight etc. No any criminal, administrative penalty or personnel penalty record. Love your job and respect your profession.

3. 具备工作能力或有相关经验,能够按照公司要求完成各项工作内容、工作指标、工作任务。

With work ability and concerned experience. You should fulfill all works, targets and duties assigned by the company.

4. 试用期结束前, 员工按照公司的要求参加公司的考核, 且考核成绩合格。

Before the probation period expires, The Employee attends and passes the examination according to the requirements of The Company.

5. 应公司要求,向公司提供与个人情况相关的陈述(如没有不适于工作岗位的疾病)材料(如离职

证明、教育学历及证书、个人简历、婚姻及生育状况、体检证明等),且该等陈述与材料均真实、有效, 不存在任何欺骗、欺诈或隐瞒。

You should, as per the requests of the Company, make representations (e.g. having no diseases that will affect normal works) and provide documents (such as Leave Approval, Educational Certificates, Resume, Marriage and Bearing Status, Medical Examination etc.) related to your personal situation to the Company, and make sure that such representations and documents are all true and authentic and there are no fraud, cheat or disguise.

二、录用程序Procedure of Employment

用人部门提出需求(新职位或补充职位),与人力资源部确认岗位职责和考核指标。

User Department submits requirement(new or reinforce position, confirming the function and assess guideline).

经公司管理层批准后,人力资源部发布招聘广告。

After approval by the company management, HR issue out want ad. 人力资源部及用人部门初选简历。

Filtration of resumes by HR department and user department. 用人部门与人力资源部对应聘人员进行面试、笔试和评估。

Interview, examination and assessment for candidates by HR department and user department.

人力资源部申报面试合格者的录用申请。

HR submits employing application for qualified interviewee.

人力资源部通知面试合格者提交相应的工作背景调查和学历、资质证明资料,并到公司指定的医疗机构进行入职前健康检查,体检费用由公司支付。

HR inform the qualified interviewee to provide corresponding working background investigation and education certificates, and take a medical examination in the appointed medical institution before check in. The cost will be paid by company.

人力资源部在进行相关的工作背景、学历资质调查后,向合格的被录用者发出录用意向通知书。

HR send the employing intent information to the eligible candidates after investigate his/her corresponding working background, education certificates, etc.

新员工到行政部报到并办理入职手续,签署《劳动合同》、《聘用协议》、岗位职责并签收《员工手册》和相关协议和规章制度,填写并提供聘用人员登记表和相关资料。

You should check in at Administration department and start the entrance procedure, sign the Employment Contract, Employment Agreement, Job Description, Employee Handbook,

relative agreement and company rules and regulations, fill in the registration form of new staff and submit your other concerned file.

行政部向新员工发放办公用品,介绍公司情况、人员,并要求其阅读了解公司的相关规章制度。

Administration department will provide necessary stationery to you and give you a brief introduction of the company and colleagues. You should read carefully and understand all company policies.

由具体录用部门负责人向新员工介绍部门情况,进行试用期工作安排。

Your department manager will give you an overall introduction of your department and arrange your work for probation period.

新员工在入职当天需向用人单位提供下列材料:

You should provide below documents to the company when check in: A. 身份证原件及复印件/Original and photocopy of ID card B. 1寸彩照2张/2pcs of 1inch color photo C. 离职证明原件/Original demission certifies

D. 工商银行存折账号及开户行信息/ICBC Account Number and bank name for opening

account

E. 其他人力资源部要求的证明材料/Other documents required by HR department

F. 员工向公司提供的个人资料必须准确无误,如发现其中有虚假,公司有权立即终止其试用期

乃至正式合同期,解除劳动合同,并不作任何补偿。

You should guarantee all personal documents you provide to the company are real and correct. Otherwise, the company have right to terminate your probation period even employment contract with you at once with no any compensation.

为保障个人权益,所有员工必须在要求期限内提交证件和有关入职资料至人力资源部,如因延误,所导致的个人损失及有关额外费用,将由员工个人承担。

For ensure your personal benefit, all employees should submit the related certificates or documents to HR department. The employee should assume the private lose and other related expense caused because of your delay.

四、劳动合同 Labor Contract

1. 新员工按劳动合同约定履行试用期;试用期内,由员工直属主管和人力资源部对员工是否符合

录用条件、胜任职位进行考评。You are required to serve a probation period according to the terms of your employment contract with the company; during the probation period, your direct manager and HR department will carry out the assessment for your performance.

员工试用期限安排如下: Probation period and Labor Contract period

A. 劳动合同期限三个月到一年,试用期一个月;One month of probation for contract term between 3month and 1year

B. 劳动合同期限一年以上到三年,试用期二个月;Two month of probation for contract term between 1year and 3years

C. 三年以上固定期限和无固定期限的劳动合同,试用期六个月。Six month of probation for agreed or permanent contract term over 3years

2. 试用期期间,原则上不允许员工休带薪年假和带薪病假,如因故必须休假,则按事假或非带薪

病假处理。During probation period, in principle, you are not allowed to ask for any annual leave or sick leave with salary. If you are obliged to do so, the company will consider it as private affair leave or sick leave without salary.

3. 试用期内,如员工由于个人原因主动提出离职,应提前三天向主管经理书面提出辞职;

During probation period, if you decide to terminate your contract with the company due to your personal reason, you should inform your direct manager in written in 3-days advance.

试用期内,如果员工经过相关培训和指导后仍不能达到该岗位的考核标准,公司可向员工说明理由并送达书面通知予以辞退。员工须按规定办理离职手续。During probation period, if the company found you can not meet the employment conditions of your position after concerned training or guide, the company may explain the reason and inform you in written to terminate your contract. You should do related procedures according to the company’s requirement. 4. 员工因故终止试用期离职的,按实际工作天数支付工资。

If you decide to leave the company during your probation period or resign, the company will pay your salary according to your exact working days.

5. 员工自入职之日起7个工作日内,应将个人档案及社会保险关系转入本公司或公司指定的人事

服务机构;如未按时转入,致使公司无法为该员工正常办理社会保险缴纳手续,则在个人档案及社会保险关系转入本公司或公司指定的人事服务机构前,公司无义务为员工缴纳社会保险,相关的经济损失全部由员工自行承担。

The employee within 15 days after your entrance to the company, you should transfer your

personal file and insurance relation into the company or the appointed organization by the company. If you fail to do so and the company cannot transact social insurance procedures because of this, the Company is released from paying the social insurance before the personal file and insurance relation are transferred into the Company or the organization appointed by the Company and you should bear all relevant economic losses.

6. 劳动合同期满,公司将根据未来企业状况(实际人力需求)、员工绩效和潜力以及《劳动合同

法》相关规定等提前6周由人事部门与直属部门对员工进行考核以及相关沟通决定是否续签劳动合同,并提前1个月向员工发出正式决定的书面通知。如员工不续签合同,同样按照所签署的《劳动合同》或《聘用协议》第9.2条第E款提前通知公司。Before end of contract date, H.R. Dept. and line department will do PDR and communication according to company’s actual status (actual personnel requirement), employee’s performance and potential, related rules of Labor Contract Law etc. Company will send employee formal notice in written one month in advance. Employee should also give Company one month's notice if he/she don't want to extend the contract.

五、员工调动Employee Transfer

1. 公司有权根据经营需要及员工的能力、表现调整员工的工作岗位。公司调整员工工作岗位的,原

则上应协商一致,但以下情况除外:

A、公司因生产经营需要,产业、产品结构及组织机构调整,部门设置发生变化需要调整的; B、员工因技能、身体等因素达不到工作质量、产量等指标,不能胜任工作的。

2. 已签订合同变更协议的员工应接受公司的调整或调动,按变更后的合同履行,不服从者,公司

将根据相关规定采取适当措施。The employee who has signed the amended agreement should accept the adjustment or transfer, and perform the amended agreement. Otherwise, the company will take proper action according to relative rules and regulations

六、员工考核Employee Performance Assessment

1. 公司各级经理按照各自的管理权限,以及《员工手册》和相关规定,对员工进行全面考核。重

点考核工作业绩。考核应坚持客观公正,管理者与其他员工考核意见相结合,平时考核与定期考核相结合的原则。 有关平时考核及定期考核的相关情况,直属经理应在适当日期书面通知被考核员工并让其签收。 Company management team and line managers will evaluate the employee performance according to regulations in Employee Handbook, mainly focus on KPI & soft skills. Assessment should be done in principle of impersonality and justness. The leaders should consult other assess opinions, combining the daily and periodic access result. 2. 考核结果是公司对员工奖励、晋升、处罚的基本依据,也可作为员工是否被正式录用、续聘、

解聘,以及薪金调整的重要参考依据。 The result of assessment is the basic evidence of encouragement, promotion and punishment, and also can be important reference to whether extend or terminate contract and salary adjustment.

七、员工离职 Demission of Employee

固定期限劳动合同的解除、变更、终止、续签

1. 辞退 Termination 1)员工有下列情形之一的,公司可与员工解除劳动合同,并可不支付员工补偿金:The

company has right to terminate the contract with the employee without compensation who is consistent with any of below situation.

a. 在试用期间被证明不符合正式录用条件的; Is proved during the probation period not to

satisfy the conditions for employment

b. 严重违反劳动纪律、公司规章制度或合同约定义务的;Materially breaches the Employer’s

rules and regulations;

c. 员工的严重失职,违约行为及营私舞弊给公司利益造成重大损失的;Commits serious

dereliction of duty or practices graft, causing substantial damage to the Employer.

d. 员工被依法追究刑事责任、劳动教养的或者公安机关收容教育达三天(含)导致旷工的。

The one who was re-educated through Labor or any other criminal punished.

e. 劳动者同时与其他用人单位建立劳动关系,对完成本单位的工作任务造成严重影响,或者

经用人单位提出,拒不改正的;The one who has built employment relationship with other employer at the same time, causing big trouble to finish working task of our company. And or the one who refuse to correct after being required by the company. f. 因《劳动合同法》第二十六条第一款第一项规定的情形致使劳动合同无效的; causes

the employment contract to be invalid due to the circumstance specified in item (1) of the first paragraph of Article 26 hereof; g. 法律法规规定的其他情形。

本款所称不符合正式录用条件, 包括但不限于下列行为:

“Not to satisfy the conditions for employment” specified in this Article shall include without limitation to the following situations:

(1) 员工提供的个人信息,如学历、工作经历、成绩单、执业资格、健康状况、信用历史、

前工作单位工作表现评价等,存在虚假、无效或故意进行误导等瑕疵;

The personal information provided by The Employee, like academic records, work

experience, school report card, professional qualifications, health status, credit history, award and punishment record and etc is found to be untrue, invalid or intentional misleading or has other flaw; (2) 员工未能通过公司试用期考评;

The Employee fails to pass The Company’s evaluation for probationary period; (3) 员工对自己的违纪、违法或犯罪行为,公司要求披露时,未如实披露;

The Employee fails to disclose its violation of discipline, law or commission of a crime as required by The Company;

(4) 公司事先明示的其他属于不符合录用条件的行为。

Other behavior belongs to the unqualified conditions for recruitment expressed in advance by The Company.

本款所称严重违反劳动纪律, 除本手册另有规定外,还包括但不限于下列行为:

Besides other provisions of this Handbook, “Materially breaches the Employer’s rules and regulations” in this Article shall include without limitation to the following situations: (1) 欺骗或不诚实;

Cheat or dishonest;

(2) 无正当理由拒不服从工作安排;

Disobey the work arrangement without justifiable reason; (3) 故意或因重大过失泄密;

Disclose the business secret in willful action or gross negligence; (4) 偷窃或随意挪用公司或他人财产、物品或资料;

Steal or embezzle the property, article or data of The Company or other people; (5) 威胁、恐吓或以其他方式侵害包括公司管理人员在内的其他员工的人身或财产安全;

Violate the person or property security of other employees including management staff of The Company by intimidation, threat or other method; (6) 参与或教唆打架斗殴;

Take part in or instigate fight or bustup; (7) 对其他员工或客户进行性骚扰,情节严重;

Perform sexual harassment to other employees or customers in serious cases; (8) 收受员工或客户等的贿赂;

Accept bribe from other employees or customers; (9) 一年以内累计旷工三天;

Absent from work aggregating three day within one year;

(10) 行为不当对公司声誉造成重大损害,包括未经授权擅自向公众或媒体发表有关公司的信

息、声明等;

Perform inappropriate conduct causing material harm to The Company’s reputation, including but not limited to release information and announcement on The Company to public or media without authorization;

(11) 向客户做不当或虚假承诺,包括虚报公司的经营范围、经营地点、收费标准、审批条

件、产品种类等;

Make inappropriate or inveracious promises, including make a false report on The Company’s business scope, business location, charging standard, examination and approval criterion, production category and etc;

(12) 未经公司批准擅自从事与公司有竞争或有关联的业务或服务;

Operate business or service competitive with The Company without The Company‘s consent;

(13) 未经公司批准擅自与第三方建立劳动关系或服务于其他盈利性组织机构;

Establish an employment relationship with another employer or other profit-making organization without The Company‘s consent;

(14) 公司按照法律、相关规章制度、惯例或公认的标准所认定的其他严重违反劳动纪律的行

为。

Other action may be recognized as severely violates labor discipline by The Company according to law, internal regulation, convention or other proverbial criterion.

2)员工有下列情形之一的,公司将提前30日以书面形式通知员工本人或者额外支付一个月工资后解除劳动合同。The employee who is consistent with any of below situations will be informed in written to terminate the contract in 30 days advance or paid extra one month salary.

a. 劳动者患病或者非因工负伤,在规定的医疗期满后不能从事原工作,也不能从事由公司另

行安排的工作的; The employee, who is sick or injured not because of work, cannot deal with the original work as well as other work arranged by the company after medical treatment expired.

b. 劳动者不能胜任工作,经过培训或者调整工作岗位,通过公司考核仍不能胜任工作的;

The employee, who is not competent for the work, still cannot pass the assessment of competence after proper training or transfer position.

c. 公司因客观情况发生重大变化或员工的生产、工作岗位消失,致使原劳动合同无法履行,

经与员工协商不能就变更劳动合同达成一致协议的; d. 法律法规规定的其他情形。

本款所称的客观情况或客观经济情况发生重大变化, 包括但不限于下列情况:

The material changes of objective situation or objective economic situation specified in this Article shall include without limitation to the following situations:

(1) 公司与其他公司进行合并或将公司重要资产出售或转让给第三方;

The Company is merged with other company or sells or assigns its major assets to a third Party;

(2) 公司的经营管理方针发生重大调整或经营管理状况发生重大变化;

The Company’s operation and management principle or its operation and management situation is materially changed; (3) 公司的内部组织机构撤销、合并、分立的;

The Company’s internal organ is canceled, consolidated or divided; (4) 公司生产经营发生严重困难;

The Company suffers serious difficult in its business operation; (5) 公司全部或部分停产停业;

The Company’s all or part of its business is suspended;

公司依法宣告破产、解散或清算; The Company is declared bankruptcy, insolvent or dissolved in accordance with the law;

法律、法规发生变化, 致使合同一方或双方难以履行本合同规定的条款。

Either Party is or both Parties are unable to perform this Contract due to the change of laws and regulations.

2.辞职 Resignation

a.

员工提出辞职,须提前30日或按所签署的《劳动合同》、《聘用协议》中第9.2条第E款所要求的时间提前以书面形式通知上级经理和人力资源部,同时向人力资源部递交辞职报告。若员工未能提前30日递交辞职报告,经公司同意辞职的,员工应当支付一个月工资的通知替代金并根据相关约定向公司做出赔偿的权利。If you wish to resign from your position with the Company, you are required to give written notice to your Manager, with a resignation letter to the Human Resources dept. In instances where you are not able to submit your resignation 30 days before, agreed by the company, the employee should pay one month of salary in-lieu of notice as well as compensate the company according to the related agreement.

员工在试用期内提前三日以书面形式通知上级经理和人力资源部,可以解除劳动合同。 员工在合同期内接受公司出资培训的,在培训期内员工因个人原因辞职或离职或因过错被公司提前终止合同的,应按公司支付的培训费及其它实际支付的金额向公司全额赔偿。脱产培训的,还应返还培训期间所领取的工资奖金等;培训期满后员工因个人原因辞职或离职或因过错被公司提前终止合同的,有服务期的,按服务期尚未履行部分所应分摊的费用向公司赔偿,未设服务期的,将根据员工接受培训后在公司工作的时间长短酌情减免培训费的赔偿金额。

员工在提出辞职报告的提前通知期内,公司未批准其辞职要求的,员工应坚守工作岗位,不得以任何借口拒绝公司安排的工作或未经公司批准私自外出办理其它事务,否则公司可按严重违纪解除劳动合同,并追究其法律责任。 During the notice period, if the Company doesn’t accept the resignation, you should stand by for your post and should not refuse to do any work arranged by the company or leave your post due to personal reasons. Otherwise, the company may terminate your contract as grave violation of discipline and determine legal liability.

辞职申请提出后,员工被公司发现其任职期内存在重大工作失误或涉嫌经济问题,以及因其过错给公司造成重大经济损失的(详见本《员工手册》纪律政策章节),公司有权拒绝其离职请求并开展调查,员工有义务接受公司调查。经调查证明上述情节属实,不论该员工是否已经离职,公司保留追究其相关经济及法律责任的权利。After the employee submitting the resignation, the company still has right to refuse his/her resignation and investigate if the employee makes any big mistake or financial suspicion or cause big losing to the company as his/her fault. The employee is compulsory to accept the investigation. If above situation is validated, the company has the right to claim for the financial and law liability, no matter the employee is dismissed or not.

3. 擅自离职 Leave without notice

员工不提前通知公司,1个月内擅自离岗累计3天的,将被视为严重违反公司有关规章制度,公司有权做出辞退的决定,并不作任何经济补偿。 If the employee privately leaves the company accumulatively 3 days within one month, you will be cognized grave breaking company’s related regulation. The company has the right to terminate the contract without any compensation.

4. 固定期限劳动合同期满 Expiration of fixed-term employment contract

在公司不与员工续签劳动合同的情况下,公司将根据《劳动合同法》对合同终止的相关规定处理,并提前30日书面通知员工本人,或以支付一个月工资替代提前通知。员工不与公司续签劳动合同的情况下,须提前30日或按所签署的《劳动合同》、《聘用协议》中第9.2条第E款所要求的时间提前以书面形式通知上级经理和人力资源部。

When the company decides not to extend the Labor Contract, we will proceed as items

concerning termination in Labor Contract Law. The employee will be informed in written 30 days advance, or paid one month of salary in-lieu of notice. When the employee decides not to extend the labor Contract, he/she also should inform the company in written 30 days before.

离职手续 Demission procedure

1. 公司辞退员工应向员工出具书面通知;员工辞职应向直属经理和办公室行政经理或人力资源部

书面递交《离职申请表》。

The Company will issue a written notice on contract termination; you should also submit the written Resignation Application to your direct manager and HR/ADM manager when you want to terminate the contract with the company.

2. 员工离职时,须填写相关离职表格,经相关部门负责人确认签字后,交回人力资源部结清相关薪

资及费用。 Before leaving the Company, you should fill required demission forms. After the confirmation and sign of your department manager, the forms should be submitted to HR department and settle salary and other fee.

3. 员工离职时,须办理工作移交手续,未办理完备离职手续擅自离岗,公司将按旷工处理。离职手

续移交内容包括但不限于:工作中的未完成事项、文件、资料、技术光盘、客户信息、各种办公物品等,须全部列出清单移交公司指定人员。公司将在该离职员工完成所有已签署完毕的离职文件后付清该员工的所有款项。

When the employee dismiss, you are required to proceed hand-over, otherwise, you will be punished as absence. The procedure of hand over includes but not only: not-yet-finished case, document, file, technical CD, customers’ information, all office facilities, You have to list all the above and transfer to the appointed person. All the salary and outstanding monetary claims will be paid after the employee finish all the demission procedure.

公司在收到签署完毕后的全套离职单据后应及时为离职员工进行财务结算(包括应向员工支付经济补偿金和最后的工资等,以及员工应向公司支付的违约金、赔偿金等)、出具离职证明。员工离职后,须在15日之内书面向公司提供档案及社会保险关系转移去向,如果该离职员工未及时提供相关转移信息,以致公司无法在该员工离职后7个工作日内为其办理完毕档案及保险转移手续者,由此产生的法律责任由该员工承担。The company should make out the resignation certificate and proceed financial closing in time for the employee after receiving all signed demission document (including last payment and compensation paid to the employee or the penalty, compensation, etc. paid to the company by the employee.). After demission, the employee should provide personal file and the new employer to whom he/she transfer social insurance. If the employee cannot provide the transferring information, causing the company cannot transact the personal file and social insurance transfer, the law liability caused has to be assumed by the employee himself/ herself.

Working Hours, Attendance Record and Leave

一、工作时间 Working Hours

工作时间是根据劳动法平均每周工作40小时的规定所制定的,但是,公司可以根据相关岗位 作内容和性质,对管理层、经理、销售、安装、售后服务、司机等岗位公司可以实行不定时工 作制或其他工作和休息办法。Working hours shall be 40 hours per week according to Labor Law, but the Company can implement unfixed working term or other working and leave term base on related job responsibilities and character for positions such as management, manager, salesman, installation, after-service and driver.

二、加班 Over Time

1. 原则 Principle

依据《劳动法》,加班原则上每月不得超过36小时。 According to Labor Law, over time hours should not exceed 36 hours per month. a. 直属经理应妥善管理、合理安排好下属的工作量。如员工确需经常在正常工作时间以外上班的,经主管领导确认后,工作时间可在不超过法定工作时间的范围内进行调整。 Direct manager should arrange your subordinate’s workload in a reasonable way. If working outside normal working hours is a necessary, with the approval of direct manager, working hours could be adjusted within the limit of legal working hours. 加班必须事先征得直属经理的确认和批准, 否则不视为加班。Over-time application should be approved by direct manager in advance. 公司安排的非工作时间内的培训、研讨会、会议根据实际情况可酌情申报调休。 Overtime can be claimable when entertaining customers, attending training, seminars, conference arranged by Company after office hours. b. c. 2. 加班申请资格 Qualification of Over Time Application a. 非综合工时制和非不定时工作制的职员可以申请加班。 (售后服务、安装职位将申请综合工时制)Employees who enjoy Non-Period Aggregate Work Schedule and Non-Fix Work Schedule may apply for over time work. b. 由于经理、销售、售后服务和安装人员、司机适用不定时工作制和综合工时制,只有在公司安排及直属经理事先批准的情况下,才能在法定节假日申请加班。The working hours of Managers, Salesmen, After-service men, drivers are not fixed, so they can only apply for overtime work and get overtime paid under the Company’s arrangements and with the approval of their direct managers in Public Holidays. 3. 加班待遇 Over Time Salary a. 根据政府有关规定和公司的薪资结构,加班待遇经双方协商可申报调休或按以下制度结算加班费,但应先行安排调休。 According to related regulation of government and company’s salary situation, overwork can be replaced with off-in-lieu or paid by quarter. Company will pay for the overtime salary every three months. The outstanding off-in-lieu will be paid in next January base on overtime salary calculation standard, and the individual income tax will be afforded by employees.

4. 加班、调休及加班费的申请 Application of Overtime, Off-in-lieu and OT Salary

a. 对于符合申请加班条件的员工 For employees who are qualified for applying OT

i. 员工在一般工作日延长工作时间多于一个小时的,方可申请加班。You may apply

for overtime work only when the over time is one hour more than the normal working hours.

ii. 员工必须于加班前得到直属经理书面认可,并在《每月加班记录表》上填写实际

加班时间,注明加班原因,及直属经理的书面认可,在办公室行政经理处备案。.You should get the approval of your direct manager before overtime work. The exact overtime hours should be recorded into the Monthly Overtime Record, specified with reasons and submit to your direct managers for signature, then send to local office manager for file.

iii. 办公室行政经理每季度第一个月15日前将上一季度的未调休完的《每月加班记录

表》汇总至人力资源部作为加班工资计算依据。

Office manager submits the Monthly Overtime Record of last quarter to H.R. Dept. for outstanding off-in-lieu salary calculation before 15th in the first month of every quarter.

b. 调休 Off-in-lieu

i. 直属经理有责任督促下属合理安排调休时间,在员工拥有调休和年假情况下,先

行安排调休。Direct managers have the responsibility to supervise your

subordinates to arrange the off-in-lieu reasonably. It does prefer to arrange off-in-lieu first if your subordinates have both off-in-lieu and annual leave.

ii. 员工申请调休应填写请假申请表并获得直属经理签字确认后交办公室行政经理处

备案Off-in-lieu should be recorded in Leave Requisition and get direct manager’s approval, then you submit local office manager it for file.

iii. 员工调休未提交获得直属经理书面认可的请假表至办公室行政经理处,而当天缺

勤者视同旷工。Your off-in-lieu will be treated as absence if you don’t submit your approved Leave Requisition to local office manager.

5.

加班计程车费报销 Overtime Traffic Claim

经理、销售人员及职员加班计程车费报销:Rules for Managers, Sales persons and office staff:

a. 若员工于工作日加班晚于正常下班时间3个小时,且未享受公司提供的车辆和交通补贴

者,可以报销从工作地点至住家单程的计程车费。When employees who don’t enjoy company’s traffic and car allowance are required to work three extended hours after normal working hours during normal working days, the company will reimburse one-way traffic expenses (commuting between home and the office).

b. 于正常双休日或法定节假日加班超过4个小时的,且未享受公司车辆和交通补贴者,可以

报销从工作地点至住家往返的计程车费。When employees who don’t enjoy company’s traffic and car allowance are required to work a minimum of four (4) working hours on weekend or public holidays, the company will reimburse the come-and-go traffic expenses (commuting between home and the office).

c. 加班车费的申请,须填写费用报销单,并随附直属经理签字审核过的加班申请单和相应金

额的计程车发票,随每月费用报销一同申报。After the check and signature of your direct manager, submit the Expense Report with the copy of the approved Overtime Application, expenses details and relevant bus or taxi receipts.

provide dinner for those who worked a minimum of four (4) hours of overtime on non-working days and two dinners for a minimum of four (4) days and not less than eight (8) hours.

iii. 非工作日工作超过8个小时,公司将免费提供两餐正餐。The Company will

provide 2 dinners for those who worked a minimum of eight (8) hours of overtime. 除上述人员以外的人员 Other employees i. 工作日下班时间后加班超过2小时,公司将支付RMB20.00的晚餐补贴。Supper

allowance of ¥20 is payable when overtime work is performed over two (2) hours after the normal starting time.

ii. 非工作日工作超过4个小时,公司将支付RMB20.00的正餐补贴。Dinner

allowance of ¥20 is payable when overtime is more than 4 hours in non-working days.

三、迟到、早退与旷工 Lateness, Leave Early and Leave Without Notice

1. 定义 Definition

a) 迟到、早退:员工晚于上班时间上班或早于下班时间下班的,视为迟到或早退。

Lateness, Early Departure: It will be treat as Lateness or Early Departure if you work late or leave earlier than normal working time.

旷工:员工有以下情况之一者为旷工:Absence Without Notice: It will be treat as Absence Without Notice if you make any mistake of below: i. 无故不出勤。Absence without reasonable excuse. ii. 未经请假或请假未批准而不出勤或擅离工作岗位。Absence or leave your post

without Leave Requisition or your Leave Requisition isn’t approved.

不按请假、补假和续假程序办理手续而休假。Leave isn’t proceeded as per the procedure.

iv. 请假事由被证明与事实不符。The leave excuse isn’t proved identical with truth. v. 未按规定提供医院诊断证明。Sick leave without hospital’s treatment certificate. vi. 已签订合同变更协议但不服从工作调动而缺勤或未按指定时间到职。Employee

who has signed contract alteration agreement with Company is absence or isn’t on board on time for disobeying the transfer.

vii. 无任何理由的迟到、早退2小时至4小时的,计为旷工半天;4小时以上的,计

为旷工一天。时间的计算自迟到或早退开始起连续计算。It will be treated as half day of absence without notice if you are late or leave early 2 hours to 4 hours.

2. 处理办法 Disciplinary Action for Offensive Behavior

a. 员工月迟到或早退2次,公司予以书面警告一次,员工被3次书面警告的,公司可按员工严重违纪与其解除劳动合同。Employee who is Lateness or Early Departure for 3 times in one month will get a Written Warning Notice; if the employee gets 2 Written Warning Notices, the Company will dismiss the contract for he/she has violated company’s policies seriously.

b. 员工旷工,取消当日工资;当月连续旷工2天(含2天)或全年累计旷工3天(含3天)以上者,按员工严重违纪解除劳动合同。 非工厂职工(如办事处,分公司职工)亦需准点上下班,否则以相同方法予以处理。The employee will not be paid for the day he/she is absent. Any employee who is absent for 2 days or a cumulated over 3 days (incl. 3 days) for the

whole year will be terminated for he/she has violated company’s policies seriously. The non-factory workers (such as office, branch) also should work in time, otherwise, the company will also dispose as the above mentioned.

iii.

四、休假 Leave

1.

带薪年休假 Annual Leave

a. 经理级人员每年享受16天带薪年假,非经理级员工每年享受11天带薪年假。16 working

days per year for managerial employees and salesmen; 11 working days per year for other staff.

b. 年假计算期间为每年1月1日至12月31日。The calculation period is from 1st Jan to

31st Dec.

c. 员工在试用期内不得申请带薪休假,但其当年的年休假天数将从其加入公司的日期开始计

算。服务不满一年的年假按比例计算,小于0.5天的忽略不计,大于0.5天的视为1天。You should not apply for annual leave during your probation period, however, your

annual leave entitlement will be calculated from the date when you started your work at the Company. Annual leave shall be proportionate in respect of an incomplete year of service. In calculating the proportionate annual leave, any fraction of a day which is less than 0.5 of a day shall be disregarded and where the fraction of the day is more than 0.5 of a day, it shall be regarded as one day.

d. 申请年假时最少以0.5天为一次申请单位,员工应填妥《假期申请表》并至少提前2个工

作日向部门经理申请,部门经理将视实际工作情况及各方面配合而批准年假。如若申请3天以上(含3天)的年假,应至少提前1个星期申请。0.5 day is minimum for annual leave application; you should submit your Leave Requisition to your direct manager 2 working days in advance. For special cases, you should inform and get the approval from your direct managers in advance. Direct managers will approve the leave

application accordingly. If you want apply 3 days or above annual leave, please inform and get the approval at 1 week in advance.

e. 除了因违纪被解雇外,员工离职时,公司将当年尚未使用的剩余年假折算成工资。如果员

工所休年假已超过可使用年假,公司将从员工的最后一次工资中相应扣除。Upon leaving employment, except dismissal for misconduct, you will be credited with accrued annual leave on a pro-rata basis for each completed month of service in the year. If you have annual leave entitlement outstanding, this will be paid on pro-rata basis by reference to your pay. If you have taken more than your pro-rata entitlement, an amount calculated on a pro-rata basis by reference to your pay will be deducted from your final pay.

It shall be considered as part of a normal work day should you require to continuing to work. And it shall be treated as one (1) day leave should you apply for leave. c. “三八”妇女节,所有女职工可以享受0.5天换休。对于过节当天未休息的员工,按自动放弃处理,不得调休。如假期恰逢双休日或节假日,一律不予补休。 For Women’s Day, all female staff may have half day’s leave on that day. 3. 病假 Sick Leave a. 员工在申请病假时应提供三级以上医院开具的病假证明及当日的医生诊断证明,如果员工在病假前不能提交病假申请单和病假证明,应及时通知直属经理,并在病假结束后第一天补办相关手续。未能出示病假单的病假将视作旷工。Sick leave will only be granted on the basis of a medical certificate issued from district or higher level hospitals. Failure to do so may result in disciplinary action and the leave days taken will be treated as absence without notice. Please inform your Manager immediately and apply for sick leave upon return to the office together with the medical certificate. b. 员工每月享有1天的全薪病假,一年共12天。全薪病假不可顺延至下一年,也不可折成工资。You are eligible for one (1) day of Sick Leave with Full Salary in each month, up to twelve (12) days in one year. The long-term sick leave will be determined by the result of medical examination. f. 病假结束后应及时回到工作岗位。如果员工因身体状况实际需要延长病假时间,应事先向直属经理申请,得到书面批准,同时提供医院的相关证明和诊断病历书,否则所有超出病假期的天数一律以旷工处理。The employee should return the position in time after the long-term sick leave. If the employee wants to extend the sick leave according to actual illness status, he/she should apply for it and get direct manager’s approval in advance, and also provide the relevant certificates and diagnosis. Otherwise the leave over previous approved sick leave will be treated as Leave Without Notice. g. 大病患者对于医院开出的病假单必须严格休息,若要求上班,必须取得医生的有关康复或适应劳动强度证明。为安全起见,不得擅自上班。Patient with serious illness must take leave strictly as per sick leave certificate issued by hospital. If the employee wants to renew his/her work, he/she must get recovering or work ability certificate. It is forbidden that a patient renews his/her job without approval. h. 连续病假超过1个月以上的员工,重新上岗需征得人力资源部、直属经理和公司指定的医院确认同意后,方可回到原来的工作岗位。传染病患者需提供康复证明。 Employee whose sick leave exceeds 1 month returns his/her pervious position should get H.R. department, direct manager’s approval and hospital’s certificate which company appointed in advance. The approval of such leave is on a case-by-case basis at the discretion of the Company and depending upon exigencies of work. Rest day or public holidays falling within the period of no-pay leave will be counted as part of no-pay leave.

请事假时,如还有未使用的年假或加班调休,则应先从未休年假和加班调休中扣减(比例为1:1)。You are required to clear your earned annual leave before you commence the no-pay leave (rate 1:1).

员工申请事假,其当月的工资将根据实际发生的事假天数扣减,

扣减公式为 : 月工资 / 当月实际工作天数 * 事假天数。Your salary will be deducted as per the days of No-pay leave you used, the formula is: Monthly salary/ 20.92* number of No-pay leave.

在事假期间,员工必须向公司提供联系地址和电话。一旦发现事假期间员工私自在其他单位工作,将视为员工自动终止劳动合同,按擅自离职处理。You are responsible for

keeping the Company informed of your address and contact number during the leave. If you seek employment elsewhere while on no-pay leave, this will be considered a

serious breach of employment amounting to repudiation of your Employment Contract. It will be regarded as employee terminates the contract on his/her own initiative.

如果员工当年事假累计超过10个工作日,公司有权决定减少或停发第13个月的工资、奖金和/或调整年度工资等。Payment of Annual Wage Supplement, incentive scheme bonus, annual leave entitlement and other employee benefits will be pro-rated if no-pay leave for any calendar year exceeds ten (10) working days.

一年内事假时间不得累计超过一月,否则公司保留终止劳动合同的权利。The Company reserves the right to terminate the contract if more than one (1) month of no-pay leave is consumed within the year.

5. 工伤假 On-job Injury

a. 员工在受聘期间享有工伤保险,任何工伤赔偿须经社保局核准。During the employment,

employee is insured with the on-job-injury insurance. Any on-job-injury compensation must be approved by Social Insurance Bureau.

b. 员工在工作中受伤,无论轻重,必须在八小时内向直属经理报告,由员工所属部门填写并经

直属经理签字的事故报告。When injured in work, the employee must report to the Manager within eight (8) hours, other employee in this dept. to help to fill in the accident report, and get the Manager’s signature.

c. 直属经理必须对每个事故报告进行调查,落实缘由,尽可能避免同类事故再次发生。Direct

manager must investigate the reason and liability for every injury to avoid it happen again. d. 经双方协商后,公司将为病愈的受伤员工另外安排一个职务(很可能在另一个部门),让员工

以安全地工作。Company will try to arrange injured employee to another position (possible to other department) for safety after negotiation under two parties.

e. 员工因工负伤可享受工伤假,并享受停工留薪期待遇,工伤病假期按医院证明及当地有关政

策法规决定。Injured employee can take On-job Injury Leave with full salary. The length of On-job Injury Leave will be calculated by hospital’s certificate and local rules. f. 工伤病假期结束后应及时回到工作岗位。如果员工因身体状况实际需要延长病假时间,应事

先向直属经理申请,得到批准,同时提供医院的相关证明,否则所有超出工伤假期的天数一律以事假处理。The employee should return the position in time after the On-job Injury Leave. If the employee wants to extend the leave according to actual injury status, he/she should apply for it and get direct manager’s approval in advance, and also provide the relevant certificates and diagnosis. Otherwise the leave over previous approved one will be treated as Leave without Notice.

工作评估、培训和发展PDR , TRAINING AND DEVELOPMENT

一、工作评估Performance Review

公司竭力发掘每位员工的潜能。工作评估(PDR)是达到这个目的的途径。The Company encourages each employee to find the best way to developing employees to their full potential. Performance Development and Review(PDR)reinforces for this purpose.

2. 工作评估

a. 是正式的记录,将作为决定员工职业发展的基础。Use as a formal record of an

employee’s performance, which will be used to decide the employee’s business development.

b. 反映员工当前工作表现,评估的标准是根据经理和员工双方协议的工作目标。Review

employee’s current work performance, and determine the appraisee’s current level of performance against agreed objectives.

c. 用于确定培训需求和制定培训计划。Identify development areas and make plans to

address them

d. 作为工资评估的考虑因素之一。Use as a key input for administering salary reviews. e. 任何工作过失将被记录在案,并直接影响工作评估的结果。

Any fault or mistake will be recorded by the company, and will directly inflect the PDR.

3. 新员工,试用期满前接受试用期评估。New employees should have the review upon

completion of his/her three (3) months probation.

4. 在职员工,每年进行两次工作评估,在六月和十二月分别对前一阶段的工作进行工作评估。新

员工或调职的员工也需进行工作评估。工作期少于6个月的员工,可能较难做到全面和详尽的评估,上级经理将为这些员工制定短期目标。All employees should have two (2) PDR each year, i.e. June and December for the preceding period. New or transferred employee shall fall in line with the full PDR process. However, it is recognized that for individuals with less than six months service, it may be difficult to complete the form in its entirety. In such cases interim objectives should be reviewed and new objectives for the following year should be completed.

培训是一项资金和时间的投资,工作量颇多,包括确定培训需求、计划、资源的分配和执行。除参加会议以外,员工被邀请参加某些培训项目,公司有权要求员工签署相关培训协议。Trainings are a form of investment. Effort is put in when sourcing, planning and determining the training required for employees. Therefore, the Company reserves the right to ask the employee to sign a training agreement when he/she is invited to participate in certain trainings, in addition to meetings.

如员工在合同期内接受公司出资培训的培训期间或在双方约定的服务期未满前提出辞职或离职或因过错被公司提前终止合同,公司有权向员工追索培训补偿金,其原则是:按公司支付的培训费及其它实际支付的金额向公司全额赔偿。脱产培训的,还应返还培训期间所领取的工资奖金等;培训期满后员工因个人原因辞职或离职或因过错被公司提前终止合同的,有服务期的,按服务期尚未履行部分所应分摊的费用向公司赔偿,未设服务期的,将根据员工接受培训后在公司工作的时间长短酌情减免培训费的赔偿金额将全部培训费按服务期年限均摊,根据服务期或剩余的服务期年限按比例逐年扣减服务费赔偿金。If employees resign during the training or before the service with the company, the company has the right to request the training payment, the principle as that all training costs are shared equally by the number of years of service, and charges the payment according to the remaining period of service or time of service in proportion each year.

学业资助仅适用于国家承认学历或资质,所有颁发专业职称、大专或本科证书的课程。短期培训、研讨会和最终未获得证书者不适用于本项资助范畴。学业资助金额为学费的50%,最高为人民币20,000元。本资助不包括书本费、科研费、杂费等。Programs covered under this policy are those leading to formal certification, i.e., professional certificate, diploma or bachelor degree. Provision for short courses, seminars and workshops are not within the purview of this policy. The cost of training assistance for academic education upgrade is 50% of the tuition fees, the maximum is ¥20,000, not including books, research fees, and other miscellaneous fees.

program of study must be related to the employee's current or future job career plan and its business objectives.

c. 学业资助期间,员工全职上班Employee must remain in full time employment while

pursuing the part time course

d. 学业时间不得与工作时间相冲突,不得影响正常工作. The duration at which the program of

study is scheduled must not be in conflict with the employee's job duty and work hours. e. 申请期或赞助的学业期内,被停薪离职的员工,将被取消资助资格Any employee whose

service is suspended at the time of application and/or during the course of his/her sponsored study program will not be qualified for training assistance.

7. 员工向直属经理申请,由经理与人力资源部沟通,并向高一级管理层申请。管理层根据实际情

况,审批每次的申请。All applications for training assistance will be subjected to management's approval, on a case-by-case basis.

8. 一经批准的申请,员工可以凭有效的发票按时报销。报销的时间规定为:学业开始时报销50%,

毕业获得证书后报销剩余50%。Applications by employees for Training Assistance approved by the Company will be on a reimbursement scheme: 50% when starts the course and 50% after graduation.

9. 所有公司资助的学习,员工必须签署学业资助协议及服务期协议。A training agreement and a

service time agreement will be signed when you get the training assistance of the company.

10. 如员工在学业资助期间内,未获得毕业证书前提出辞职,公司有权向员工追索培训补偿金,其原

则是员工偿还公司已支付的全部学费。If employees resign during the training or before

graduation, the company has the right to request the training Compensation which is the tuition fees pays by the company.

11. 如员工在学业资助结束获得毕业证书后但在服务期届满前提出辞职,公司如同意辞职的,公司有

权向员工追索补偿金,其原则是:将全部学费按服务期年限均摊,根据剩余的服务期年限按比例逐年扣减服务费赔偿金。If employees resign after the training or graduation, the company has the right to request the training Compensation, the principle as that all training costs are shared equally by the number of years of service, and charges the payment according to the remaining period of service or time of service in proportion each year.

行为规范Rules and Regulations

一、个人资料 Personal Profile

1.

员工在劳动合同中提供的个人信息,联系地址视为公司与员工联系及相关书面通知的送达地址。The employee information of the contract, particularly the address, as the company contact with the employee and the address for service notice in writing.

员工在公司登记的个人资料的如有变更,请立即通知办公室行政部,如地址、姓名、婚姻或家庭状况、电话号码和学历等,方便于公司对员工的了解及在紧急情况下与其或其家属取得联络。Should you change your address, name, marital or family status (particularly for those with dependant insurance coverage), telephone number, further qualifications or other relevant personal particulars, please inform Administration Department promptly. This information may be necessary in case of accident or emergency.

对任何伪造或故意隐瞒个人信息资料的行为,将被视为对公司的欺诈,公司有权根据有关规定采取适当的行动,乃至解除合同。Any falsification about personal information or deliberately concealing information, will be regarded as fraud by the company, according to the relevant provisions of the Labor Contract Law, the company has the right to take appropriate action, or even terminate the contract.

二、公司资产 Company Assets

员工应小心使用和保护公司资产,不论是公用的或是分配到员工个人的。请紧记:爱物如家。这包括但不仅于打印机、电脑、汽车、机床等。Employees should be careful with the use and protection of the company's assets, whether communal or assigned to the staff of the individual. Please bear in mind: love the company such as home. These include, but are not limited to the printers, computers, automobiles, machine tools, and so on.

如果因不正当或不小心的操作或行为而损坏公司资产,员工负责维修费用。倘若该资产已损毁而无法修复的,员工负责购买还给公司同一价值的物品,或按该物原价值向公司赔偿。Damage the company's assets because of improper or careless operation and behavior, the employees responsible for the maintenance costs. If the assets have been unable to repair, the employees have the responsibility to buy the same value of the goods for the company, or compensate to the company as the value of the original.

1. 若员工欲从工作场所转移出任何属于公司的资产或设备(如打印机、数码相机)时,必须事先征得直属经理的出门书面批准。If the employees want to transfer any assets or equipment of the company (such as printers, digital cameras) from the workplace, must with the approval of the immediate manager and have his written approval of out prior.

公司分配给员工随身携带的办公物品(例笔记本电脑)除外。Except the office supplies can carry goods which the company allocated to the employee as laptop.

四、杜绝兼职 No Part-time Job

在本合同有效期内,员工不得参与与公司目前涉及或本合同有效期内将涉及之业务直接或间接有关的聘用、兼职、咨询或其他业务活动;员工亦不得参与任何可能与员工在本合同项下对公司所负之义务冲突的活动;员工还不得出资设立公司或其它性质的经济组织,开展与公司业务范围类似的经营活动并与公司形成竞争关系。否则,公司可立即终止本合同,并保留追究员工相关的经济及法律责任的权利。

员工的任何兼职需经公司预先书面批准,对一项活动的批准不应视为对任何其他活动的批准。该等其他活动应获得新的批准。公司保留在其认为该等兼职已经影响到员工的工作表现或公司利益时可随时撤消该等批准的权利。

员工在与公司建立劳动关系时,应当保证其与其它任何单位的劳动关系已经解除完毕,否则,应对公司因此造成的损失承担赔偿责任。

与在集团内同一营业公司任职的员工结婚,其中一方必须服从调动至非关键岗位或集团的另一家营业公司工作。When an employee gets married to another employee, a change in position and department may be required for either employees, depending upon the positions held and the functional sensitivities of these positions.

2.不得接受的礼品Not accept gift

a. 所有由与公司有业务关系的企业或个人(下简称为公司业务关系人)赠予的礼品All

personal gifts received during at home, in the company and in travel, the free, low-cost services housing decoration , Custom clothing, and free telephone or Shuttle and so on, which are provided by the enterprises or individuals having business relations with the company (referred to as business relationship).

b. 除非是公司与业务关系人共同参加的面对公众或第三方的推广活动,否则不得接受

十、招待活动及应酬 Entertainment and Social Intercourse

1. 对外应酬External entertainment

a. 所有对外应酬须与业务相关且在业务所在地进行,并事先征得直属经理的批准。All

external entertainment must be associated with the business and in location, and with the approval of the immediate manager prior.

b. 公司员工需锻炼良好的判断力来选择与客户层次相当的场所进行宴请。Employees are required to exercise good judgment to select customers with a level of the establishment to dinner

c. 公司员工可以参加与工作有关的午宴、晚宴及开幕礼,但此类活动不得形成一种习惯的

工作模式。Employees will be able to participate in work-related lunch, dinner and the opening ceremony, but such activities may not form a habit of working mode.

d. 员工参加招待活动、讨论会及展览会须预先得到上司的批准。员工如携亲友参加此类活

十一、 公费手机Reimbursement of Mobile Phone Fee

1.

本规定仅限用于符合手机报销条件的员工。This provides limited employees have the conditions of reimbursement.

因工作需要,公司批准个别员工在标准的限额内报销手机费用。因工作需要超出限额标准的手机费用须由直属经理批准方可报销。 但是该费用仅限用于公司业务。As required, the approval of individual employees in the company's standard threshold of mobile cost reimbursement. 十二、 工作不满的解决办法 Grievance Handling

If you are not satisfied with the decision of your Manager, you may raise the matter to the Human Resources Manager within the next three (3) working days.

十三、 重新聘用Re-hiring

1.

已离职的员工如欲被重新聘用,必须符合下列条件:Re-hiring of Resigned Employee is subject to the following conditions:

a. 员工不是被公司提前终止合同或解雇的;The employee was not terminated or dismissed by Company

b. 服务日期将从新的雇用合同开始生效。The service date shall take effect from the new employment contract

已退休员工如欲被重新聘用,必须符合下列条件:Re-hiring of Retired Employee is subject to the following conditions:

a. 按上述“离职员工”的方法处理;Retirees may be re-employed in the same classifications

as “Resigned Employees” mentioned above.

b. 根据员工的健康状况和工作表现,另行签订聘用协议。 They will be employed on Labor Employment Contract subject to satisfactory medical review.

员工通过书面文件、口头交流、观察图样或设备部件等各种方式直接或间接获取的任何与公司及相关公司业务有关的不为公众所知、所用,具有保密价值且经公司采取保密措施的信息、技术资料、商业秘密或专有技术,包括但不限于生产制造的规格,配方,研究,发展,采购,财务,销售,软件,发明,业务计划,客户资料,人事政策及知识产权等,员工在雇佣期内或合同解除及终止后都不得泄露或让任何第三方利用。如未经授权,违反公司制度及规定,将机密信息泄露给第三方,造成公司或相关公司任何损失或不利影响的,视为严重违反公司规章制度及员工的保密义务,公司有权根据《劳动合同法》有关规定采取适当的行动,也有权依据相关法律追偿损失。

对公司高级管理人员、高级技术人员及其它负有保密义务的员工,公司有权要求与其签订竞业限制协议。The employees through written, oral communication, observation drawings or equipment components, and other methods, directly or indirectly, access any company and related business not related to the public knowledge, use, and the value of confidential company information to take security measures , technical information, trade secrets or proprietary technologies, including, but not limited to manufacturing specifications, formulation, research, development, procurement, finance, marketing, software, inventions, business plans, customer data, personnel policies and intellectual property, in the Employment period or after the termination of the contract are lifted and shall not disclose to any third party or use. requirements, disclose confidential information to third parties, resulting in the company or related

companies any loss or adverse effects are considered serious violations of company rules and regulations and employee confidentiality obligations, according to the relevant provisions of the Labor Contract Law, the company has the right to take appropriate action, or even claim damages.

十五、酗酒和吸毒Alcohol and Drug Abuse

1. 任何时间,绝对禁止在工作场所内喝酒,经指出后拒不改正的,公司有权给予书面警告。

Consumption of alcohol within the office premise is strictly prohibited whether during or after working hours, refused to correct it, the company has the right to give a written warning.

2. 如发现任何员工携带、吸食、购买或贩卖毒品,视为严重违反公司规章制度,公司有权采取

适当的行动,乃至与员工解除合同。Any employee found possessing, using, buying or selling drugs in the Company’s premises, will be considered as serious violations the rules and regulations related of the company ,according to the relevant provisions of the Labor Contract Law, the company has the right to take appropriate action, or even terminate the contract.

十六、政治活动 Political Activities

员工禁止参加或涉及直接或间接的任何违法政治活动,经指出后拒不改正的,公司有权给予书面警告。Shall not take part in any political activity whatsoever, refused to correct it, the company has the right to give a written warning.

十七、刑事犯罪Criminal Offences

员工违反中国法律和规定被刑事处罚的将导致被立即解雇。Violation of the laws of China or conviction in any Court of Law will result in immediate dismissal.

十八、生产区域Work Areas

严禁在生产区域吸烟、吐痰、吃喝玩乐、听音乐、打牌、悬挂或摆放个人物品,经指出后拒不改正的,公司有权给予书面警告。Smoking, expectoration, beer and skittles, music, card games and hanging personal effects in work areas are all strictly prohibited, refused to correct it, the company has the right to give a written warning.

十九、出勤记录Attendance Record

1.

生产公司车间工作人员上下班要打卡,无打卡记录作缺勤处理,并扣除当天工资。Each worker at the manufactory unit is required to clock-in and clock-out twice a day. Failure to register their attendance may result in being regarded as absent with consequential deduction of salary for the day(s) concerned.

代人打卡,擅自更改或伪造时间卡是不诚实的行为,公司有权给予书面警告。 It is dishonest behavior that clock-in or clock-out for others, arbitrarily altered and forged time, and the company has the right to give a written warning. 以上规定同样作用于非生产员工。

The above regulations are equally applicable to the non-production employees.

二十、公司工作证Company Identification Card

1. 生产公司的员工出入公司,请主动向安全人员出示公司工作证。 Every employee will be

issued an Identification Card. Employees are required to show it to the Security personnel at the Employee Entrance.

2. 员工可免费换领因正常磨损而损坏的工作证。Identification Card can be replaced when

showing normal wear and tear.

3. 如因遗失需补发或因使用不当而需要更新时,费用由员工本人自付。A charge will apply for

replacing lost Identification Card from the employee.

4. 公司工作证属于公司的财产,离职时须交还办公室行政部。The Identification Card remains

the property of the Company and must be returned to the Office Admin Department upon completion / termination of service.

二十一、工作服Uniform 1. 生产公司向每个车间工作人员提供两套工作服,员工必须保持工作服干净,工作时穿戴。The Company supplies two sets of smock for each worker in the manufactory unit. The employee should keep them clean, and wear it when working. 任何因粗心或滥用所引起的工作服损坏或遗失,将由员工全部赔偿。 The employee shall pay for the smock’s loss and tear due to over wearing. 工作服只能在上班时穿,不得穿出公司或上街穿。The smock should only be worn for work, and cannot be allowed take out of the workplace. 离职前需交回工作服。 Smocks should be returned upon completion / termination of service. 2. 3. 4. 1. 二十二、更衣室和更衣柜Bathing Room and Cabinet 生产公司为车间工作人员提供更衣柜,以便工作时存放衣物和私人物品以及下班时存放工作服。请随时锁好更衣柜,贵重物品请勿存放在更衣柜内,公司对更衣柜内物品遗失不负责任。Workers at the manufactory unit have cabinets to store their personal clothing and smock. Please keep the cabinet locked at all times and not store valuables. The Company is not responsible for any loss due to your negligence. 每个更衣柜只配给一把钥匙,遗失更衣柜钥匙,需向办公室行政部报失,新钥匙只能由公司同意配制,员工申请新钥匙时应负担有关费用。Each cabinet is only equipped with one key. If you lose the key, you should report to the Office Manager to apply for the new key which is equipped by company only, and pay any expenses incurred. 更衣柜不得私自换锁,调换或强行开启,造成损坏,由使用者赔偿。强行开启或用钥匙试开他人更衣柜,公司有权给予书面警告。You are not allowed to change the lock of the cabinet. The employee will pay for the repairing costs if damage is made. The company has the right to give a written warning if the employee opening cabinets forcefully or attempting to open other’s cabinet. 每位员工都有责任保持更衣室的清洁。员工不得在柜外挂或摆放衣物或鞋等,公司有权没收柜外一切衣杂物。员工应保持柜内清洁卫生,不得在柜内存放食物、饮料或易燃易爆物品。Each employee has the responsibility to keep changing room clean. You may not place your clothing and shoes outside of your cabinet. Company has the right to expropriate all the things outside of the cabinets. Food, drinks and flammable items are not allowed to be kept in the cabinets. 员工明确知晓更衣柜非私人场所,因更衣柜内严禁存放公司物品、公共财物及非属个人隐私物品 (工作服除外),所以办公室经理有权不定期地检查更衣柜,以确认更衣柜内没有任何违规物品存放。The cabinet is not private establishments. 二十四、进出包裹Package and Parcels 1.

生产公司的员工在进出公司时,主动打开手提包和包裹,接受安全人员检查。For employees in the manufactory unit, please open your package and/or parcel, which is/are taken into or out of the manufactory unit for the Security personnel to inspect.

为避免不必要的不便或误会, 请尽可能不要携带包裹进公司。To avoid any

misunderstandings, you should declare any items to the Security upon leaving the manufactory unit.

差旅政策 Travel policy

一、操作流程 Procedure

1.

所有差旅安排,包括航班、租赁车辆和酒店必须由公司办公室行政部得到上级经理签字或电子邮件批复的出差申请后来安排。所有出国的差旅申请须由卡都亚太区总裁批准。这样可以确保公司可获得协商的折扣和价格,员工的安全,及方便资料跟踪来确保政策的施行和成本经济的目的。 All travel arrangements including airline, car rental, and hotel must be made through the Administration department by using the Travel Authorization Form. This will ensure that all negotiated discounts and rates are obtained, the safety of our employees is addressed, and facilitate data tracking to ensure compliance with the policy and cost saving goals.

出差人员递交差旅申请表给直属经理批准,复印件交至当地办公室行政部,或者发送一个包含所有信息的邮件。办公室行政部将预定票务及搜索最适合的酒店。. Travelers submit Travel Authorization Form to their manager for approval with copy to the local Administration department. An email covering the same details will suffice. Administration department will book tickets and look for suitable hotels.

一经批准,出差人员将差旅申请表的复印件或邮件转至办公室行政部,有关人员将安排出票,并与酒店或者与国外的办公室行政部确定住宿。。Once approved, a copy of the Travel Authorization Form or email is to be forwarded to the local Office Administrator who will cut the airline tickets, confirm the hotel accommodation either with the hotel directly or with the overseas Office Administrator.

当机票和酒店住宿确定后,办公室行政部将通知出差人员所有明细,包括预定编号等,为方便住宿登记。Upon confirmation of the flights and hotel accommodation, the Office Administrator will give to the travelers all details, including a reservation confirmation number. This will facilitate checking-in.

倘若要取消已计划好的差旅时,出差人员的责任是马上联络公司办公室行政部,取消酒店和机票的预订。未使用或部分已使用的飞机票必须立即退还给办公室行政部。It is the responsibility of the traveler to contact the Office Administrator for hotel and tickets cancellation when a planned trip is cancelled. When a trip is cancelled after the ticket has been issued, unused or partially used airline tickets must be returned immediately to the Office Administrator. 有计划的差旅和沟通将会使每个人的工作井然,并避免不必要的最后一分钟仓促。The planned travel and communication will make everybody work in order and avoid unwanted hurry in last minute.

当旅行代理发出发票给公司时,办公室行政部需分别附上已被批准的差旅申请表,公司才进行支付程序。When the agent issue invoices to the company, office administrator should enclose all the approved Travel Authorization Form before proceeding payment procedure.

But when attending some training or conference, two same gender employees are required to live in one room. If so, only one of you could apply the reimbursement. 员工若与可享受更高待遇的人一起出差,可享受同等住宿待遇。 If travel with upper level colleague, the employee could enjoys the same level accommodation. 员工退房时,应自行与酒店结账。酒店提供的账单应将所有费用分别列出:如房费,电话费,洗衣费等。如果不能详细列出,须附酒店另外开具的发票。 When check out, the employee should settle accounts with the hotel. At below situation, the employee could keep the accumulation from Airline Company, Company of credit card and chain hotel. 1. “积分”活动方案应是面向公众的公开的推广活动.Accumulation plan is the public promotion. 2. 不得为取得航空公司或酒店等的“积分数”而导致出差时间和费用不合理地增加。 The employee is not allowed to travel in unreasonable time and make the cost increase to get more accumulation. 五、每日餐费报销限额 Daily meal Reimbursement Limit 1. 员工可在限额之内报销出差期间的餐费。每日费用报销限额为:The employee could reimburse the daily meal during travel period. The limitation for everyday is: 每日餐费补贴(含早、午和晚餐) 国内 Meal compensation per day (incl. breakfast, lunch and dinner) 早餐RMB20午餐RMB30晚餐RMB30 RMB20 for Breakfast, RMB30 for lunch, RMB30 for dinner 2. 如果员工出差期间被他人招待就餐,或参加会议/培训已经就餐的,相应的报销限额将被扣减。(*早餐:RMB20,午餐:RMB30,晚餐:RMB30) If the employee is treated by someone else, or have already eaten during the conference or training, the relevant reimbursing limitation should be deducted. 3. 凡出差期间在外过夜,当天的报销限额可100%享受。 The employee could enjoy 100% reimbursement for whole day if he/she has to live in the hotel. 4. 离开工作所在城市当天工作多于8小时,公司支付当天100%的差旅补贴餐费。The employee could enjoy 100% reimbursement if he/she works over 8h outside of located city. 5. 所有餐费报销均须提供发票。若实际发生费用低于上述限额的,应按实际发生金额报销。 Invoices should be provided for all meal reimbursements. 3. 距离以从公司到客户方来计算,出发地和目的地必须清楚注明,因税务原因须提供汽油费或停车费发票冲抵。The distance should be counted from the company to the customer. You should give clear indication of the departure and destination. The invoices of gas or parking should be provided to cover the tax.

4. 所有从员工私人住处到客户方的车程将视为正常交通,费用不予报销。

All the traffic cost from the private residence to the customer is not allowed to be reimbursed.

5. 公司对私车公用的其它相关费用不予以报销,包括车辆保险费、维护费、维修费、违章罚款及其他因交通事故所发生的费用。 The company will not cover other cost of private car used for business, such us insurance, maintenance, repair, penalty and other cost caused by traffic accident.

6. 对于短途商务旅行,已经享受公司车辆和交通补贴的人员不予报销租车费及汽油费。The employee, who has used company car or compensation for the short distance travel, will not reimburse the taxi and gas expense.

八、其它费用 Other Expenses

1. 员工连续出差超过三晚的,可申报合理的洗衣费,但不包括干洗且限于差旅期间穿着的衣服。 The employee could apply the reimbursement for reasonable laundry expense if he/she travels

over 3 nights, but not dry cleaning.

2. 出差期间可报销每天十分钟打回家公费电话。10 minutes of phone call to traveler’s family per

day will be reimbursed by the company.

3. 出差期间,不可报销酒店客房内小酒吧、付费电影、按摩和娱乐等费用。During traveling

period, the employee cannot apply reimbursement for expense of estaminet, charging film, massage and entertainment, etc.

4. 公司已为所有人员投保综合性的商业保险,因此员工在搭乘飞机时再行申报航空人身保险费

的,费用由员工自行承担。 The company has declared commercial insurance for all employees. The employee should pay him/herself for the other life insurance as take the plane. 5. 签证和通行费根据发票实报实销。 Reimbursement for visa and toll should be applied

according to the actual expense.

九、现金借款 Cash Advance

公司可提供一些临时的现金借款作为相关的差旅费用。在提交差旅申请表经理批准时,需在表中列明估计的费用明细。The company will provide some petty cash for travel. The employee should estimate cost and write it on the travel application.

员工需在前一次借款结清后,才能申请第二次借款。The employee could apply second-time petty cash till you have settle accounts of first-time petty cash with the financial dept. 如果借款在差旅后一个月内不结清,公司将在出差人员的工资内扣除所借的金额。

If the traveler hasn’t settle accounts with the financial department one month later than you’ve been back, the company may deduct same sum from the traveler’s salary.

所有差旅费用报销必须返回差旅后的一星期内填制费用表格提交给经理批准。

All the reimbursement should be declared and submit to your direct manager within one week after you’ve been back.

纪律政策Discipline and Policy

纪律政策指定的目的,为确保公司的秩序性和纪律性,维护员工的合法权益,保障公司正常的业务运作, 特制定本政策。违反纪律,公司处分的形式分为两种:书面警告( 降职降薪)和辞退。This chapter is aiming at well-ordered and well-disciplined, guaranteeing employee’s legal right, keeping normal business operation.

一、对于有下列行为之一的员工,将被公司处以书面警告的行政处分的行政处分。

The employee may be punished by written warning if he/she performs as one of

below situations:

1. 一个月内2次无故迟到或早退,经教育不改,或无正当理由一个月内连续旷工2天 If you work/leave early for three (3) times or more in a month, and are persistent even after warning has been given, or did not absent without notice for one to two (1-2) days in a month without valid reasons.

6. 不按规定穿戴工作服、帽或其他劳防用品,经教育一次不改者。

Not wear exposure suit, helmet or other protecting necessaries. Not rectify after being educated for one time.

7. 在工作时间内串岗、离岗而影响正常工作秩序或致使生产遭受损失,情节较轻。Infect normal

working order or make lose to the production because the employee drops around or leaves the position during working time. The result is not too bad.

8. 在工作时间内干私活或做与工作不相关的事情而影响正常工作,或在下班时间利用公司设施干私活,经教育一次不改者。

Infect normal working because of doing private business or those things not concerned the working. Use company’s facilities to do your private business. Not rectify after being educated for one time.

9. 在工作时间利用电脑玩游戏,或未经公司许可在公司电脑上安装私人软件,经教育一次不改者。

Play games in computer during working time, or install private software without permission. Not rectify after being educated for one time.

10. 利用公司电话或手机、收费电话、声讯电话或GPRS上网,经教育一次不改者。

Use the telephone or mobile phone of company to dial charging call, sound message call or log on GPRS. Not rectify after being educated for one time.

11. 生产或工作效率低下,且态度不积极,虽经批评教育仍完不成生产任务或工作任务。

The employee produces or works with low efficiency and negative attitude, even not rectify after being educated for one time.

12. 无故损坏公司设备、设施,或浪费公司物(料)、能源,造成损失价值为人民币2000元以下的。

The employee destroys equipment of company or wastes resource/energy without reasonable excuse. The losing is less than RMB2000.

13. 不听劝阻无故进入要害部门,或带无关人员进公司,经教育一次不改者。

The employee doesn’t recognize dissuasion and enters into key department without reason, or takes somebody irrespective to the company, even not rectify after being educated for one time.

14. 无故不参加公司组织的安全、消防和职业健康培训,以及业务培训。

The employee doesn’t attend training of safety, fire control, health occupation and operation organized by the company.

management and reasonable working arrangement of your boss, even not rectify after one time.

17. 因个人原因被客户投诉并经查实确有过失的。

Being complained by the company because of the employee’s private fault, which have been investigated and affirmed.

18. 违反公司信息安全政策或违反电脑操作规定,私自进入他人电脑查看信息;在网上阅读公司及

国家明文禁止的信息或发表损害公司声誉、利益以及公司员工名誉的信息等。

The employee disobeys the company’s regulation or policy regarding information safety, computer operation, or entering other’s computer without reason to look over information. The employee reads the restrictive information or publishes information which is harmful to company’s honor, benefit and colleagues’ reputation.

19. 在工作场所有寻衅闹事,围攻恐吓,蓄意报复行为的。The employee affray, beleaguer, gallow,

retaliate at working area.

20. 其它因违反公司规章制度而被书面警告的情况。

Failure to abide by the Company’s policies, regulations, working procedures or specific directives.

凡员工有上述违纪行为并因此造成公司经济损失的,除将被给予书面警告处分外,公司还可 要求员工作出适当赔偿,书面警告由人力资源部及管理层决定并作出,在送达本人的同时并在公司人力资源部备案。If the employee act as the above mentioned and cause economic losing to the company, he/she will be not only warned in written, but also required to compensate properly. The written warning will be issued by HR department or management team, sent to the employee himself/herself and made record in HR.

二、对于有下列行为之一的员工,将被视为严重违反公司规章制度或有重大过错,公司有权根据《劳动合同法》有关规定解除劳动合同,并不予支付经济补偿。The employee who performs as one of below situations, he/she will be recognized seriously breaking company’s regulation or grave fault. The company has right to terminate the Labor Contract without compensation according to THE LABOR LAW.

1. 应聘职位时,提供了虚假个人信息资料,欺骗公司而被聘用的。

Cheat the company and be employed with mendacious personal information.

2. 一个月内2次无故迟到早退或经书面警告后仍不改正的,或无正当理由一年内累计旷工3天

的。

If you late for work/leave early for six (6) times in a month, and are persistent even after written warning has been given, or did not absent without notice for continuous 3 days in a month or 3 days in a year without valid reasons.

3. 任何形式的偷窃或泄露公司机密(如市场计划、客户资料、技术图纸和薪资信息等)。

Burgle or disclose company’s secret in any way (such us marketing plan, customer’s

information, technical drawing or salary information, ect.)

4. 在履行订购、验收工作时,利用职权假公济私,玩忽职守,隐瞒过失,刁难客户,索贿行贿。 When dealing with ordering or inspecting, the employee abuse the public trust, be asleep at

the switch, hide fault, create difficulties for the clients, bribe.

5. 蓄意隐瞒或虚报客户资料,价格资料而安排放账与发货,或进行采购。

Intentionally put in an account or delivery goods or purchase by hiding or making a false

report of the client’s information, quotation.

6. 不按规定或超越权限,擅自签署、审批合同、发货、放账、支付费用、验收、订购等行为。

Approve and sign the contract, put account, delivery goods, pay the bill, inspect, purchase, etc. not following the regulation or exceeding the extent of authority.

7. 利用串联或小团体形式造谣惑众,挑唆事端(包括以口头或书面形式等),扰乱公司秩序,或发表

虚假或诽谤性言论,影响公司或个人声誉。Use some unit or small group to rumor, make

trouble (Incl. in oral and written, etc.), break the normal order of company, publish illusive or damaging speech, inflect company’s or personnel’s reputation.

8. 任何方式干扰公司正常运作秩序,致使公司安排的工作任务不能完成,或者公司其他员工不能

工作或者部门停工、停产。 To disturb normal operation of the company in any way and make the work assigned cannot be finished, or the other employees cannot work, or the department has to shut down.

9. 在公司内赌博、吸毒、酗酒滋事、打架斗殴、携带凶器、毒品等。Gambling, freak-out, affray

after drink, fight, bustup, carrying lethal weapon and drug etc.

10. 对他人扬言威胁或侮辱,毁坏物品、袭击伤害(含雇用他人)等非法或非正当手段,直接影响他人

正常工作、生活、人身安全。Using Illegal or wrongful means to affect other’s normal work, life and safety such as threatening or insulting others, destroying company’s goods, attacking and injuring others(including hiring somebody else to do it).

11. 利用工作职权牟取私利、贪污受贿,损害公司利益,或利用公司名义,在外招摇撞骗。 Using

employment authority to seek expedience, corruption and bribery; damage company’s benefit or use company’s title to deceive outside.

12. 以盗窃、侵占、欺骗、制假等方式获取公司财物,以满足个人利益,损坏公司名誉。Deliberate

dishonesty such as, but not limited to, theft, embezzlement, falsification of records, receipts and unauthorized usage of Company funds.

13. 未将亲友与本公司有发生业务关系情况及时以书面形式知会公司,损害公司利益并有从中牟利

事实的。Fact such as not informing company in written about the business relationship between your relatives and company in time, result in damaging company’s advantage and obtaining benefit for yourself.

14. 假冒他人签字或滥用公司印章,伪造文件、介绍信。Counterfeiting other’s signature,

company’s document and recommendation or using company’s seal without approval. 15. 在公司内有伤风化,影响恶劣;或有猥亵、骚扰他人的言行而给他人造成精神或身体伤害。

Damaging moral, bad influence or using bawdry and annoying words or behavior to hurt others. 16. 员工的过错行为导致公司其他员工身心遭受伤害,包括被劳动行政部门认定为工伤且被鉴定丧

失劳动能力的。Employee’s fault leads up to others’ damage including on-job injury and the injured employee is disability appraised by labor authority.

17. 采取投机取巧,弄虚作假的手法,隐瞒事实谋取非法利益,或违反公司管理制度,如:托人/代

人打卡/签到、虚报奖金、加班费、修改/伪造出勤记录、差旅费、医疗证明或其他原始凭证等。 Taking falsification means to keep in fact to obtain illegal benefit or violate company’s rules such as presenting a forged or non-standard bill of documents, e.g. invoice , medical certification, business trip expenses, attendance record and bonus, asking for others to sign in or on the contrary.

18. 在与本公司有竞争的企业从事第二职业,或利用工作时间从事第二职业,以及从事第二职业严

重影响正常工作或在病、事假期间发现在外另谋职业,对完成本单位的工作任务造成严重影响,或者经公司提出,拒不改正的;。Engaging in private work or trade within the Company or which is in conflict with the Company's business, seeking other job during sick leave and no-paid leave. This activity affects normal work seriously and is warned by company but not rectify.

19. 违反重大安全生产、消防安全、环境卫生规定致使公司或其他员工蒙受严重经济损失或生命危

害,价值为人民币2000元及以上(环境/安全重大事故包括:火灾、质量、设备、交通事故等)。Violating important production, fire prevention and safety, environment and sanitation rules result in endangering other employee’s life or company’s serious economic loss worth RMB 2000 or above e.g. serious environment/ safety accident including: fire, quality, equipment and traffic accident etc.

20. 严重失职,造成所保管的现金、贵重物品或重要文件遗失,或使公司或员工遭受重大损失/损

害,价值为人民币2000元及以上。Serious breaching of duty result in cash, valuables or important document’s loss or endangering other employee’s life or company’s serious economic loss worth RMB 2000 or above

21. 在禁烟区内吸烟或工作时饮酒,造成事故,使公司或员工蒙受损失/损害,价值为人民币2000

元及以上。Accident for smoking in non-smoking area or drinking in working time result in

endangering other employee’s life or company’s serious economic loss worth RMB 2000 or above.

22. 未经允许动用、出售公司财产(包括公司产品、办公用品等)。Using, selling cmpany’s goods (including company’s products and stationary etc.) without approval.

23. 故意损毁重要公物,致使公司造成损失,价值在人民币2000元及以上。Destroying public property on purpose result in company’s loss worth RMB 2000 or above.

24. 员工的过错行为导致公司被政府行政管理部门责罚,或者社会媒体负面报道而给公司形象及名誉造成不利影响的。The company is punished by the government or reported by the social media as negative news because of the employee’s fault, so that cause disadvantageous influence to the company’s reputation and visualize.

25. 触犯国家法律法规,被依法追究刑事责任的。Break the company law and be investigated and affixed the criminal liability according to law.

26. 被书面警告处理一次后,在6个月内重犯同样错误或有其他严重过失行为被再次书面警告的。 Within 12 month after being warned in written, the employee is warned in written again

because of making same mistake or grave fault.

27. 同时犯有两项及两项以上书面警告的违纪行为,可直接给予辞退处分。

The employee who performs 2 or over 2 kinds of peccancy for written warning may be dismissed directly.

28. 其它重大过失或不当行为,影响公司声誉或利益并导致公司损失的。

Other grave fault or misfeasance that inflect company’s reputation and cause lose to the

company.

29. 其它严重违反公司的各项规章制度,以及应严重过错给公司造成重大损害的行为。

Other behaviors that gravelly break company’s regulations and cause big lose to the company.

凡员工有上述行为或发生上述情况之一的,公司将有权立即辞退员工,无条件解除劳动合同,并不支付经济补偿。如有违反国家法律行为者,公司将酌情移交司法机关处理。同时,员工因严重失职给公司造成重大经济损失的,公司有权在解除劳动合同的同时,要求员工作出经济赔偿。

If the employee performs as one of abovementioned situations, the company has rights to dismiss this employee at once and terminate his/her Labor Contract without any conditions or economic compensation. If the employee breaks country’s law, the company may transfer him/her to judiciary. Meanwhile, if the employee makes big economic lose to the company, the company has right to ask compensation as terminate the employee’s contract.

其它 Others

为了更好协助员工,公司向你提供国际互联网,内部及外部电子邮件的使用权,公司还将提供与这些设施相应的电信,网络,软件和信息存储方面的资源,本使用规则规定了如何使用这些资源以符合公司的要求,违反这些规定的行为被视作违纪行为,将予以严肃处理。To support employees much better, the company provides Internet, internal and exterior email access, and also corresponding service, such as telecom, networks, software and resource for information storage, etc. This regulation states how to use these resources according to company’s requirements. Any usage that disobeys this regulation will be considered as disciplinary offence and disposed seriously.

在基本原则上,在你使用国际互联网和电子邮件时所遵循的个人责任和职业责任与你在从事其它商务活动中遵循的责任是相同的,无论在打印文件时,电话联络时还是面谈时。In principle, as using the Internet and E-mail, you should obey same duty of personnel and profession as what you do when deal with our business, no matter printing file or communicating by phone call and face to face.

2. 尽量保证邮件的机密性。如果必要,可对邮件进行加密处理,但是,必须牢记所设置的密码。

一旦遗忘了密码,该邮件是无法被打开的. Try to keep secret of email. If it’s necessary, you’d better set password to the email. You should fix the password.

3. 对于非公务事宜,不建议群发给整个集团甚至全球,例如:笑话、促销活动等邮件。

Those emails not concern business are not suggested to be sent all around the group or global, such as jokes, promotion, etc.

四、下载 Download

1. 除非你有版权所有人的授权下载,否则下载,传播和复制有版权的作品(如文件,图片,音乐

片段,录像等)是侵犯版权的行为。在未获得正式授权之前,不得从互联网上下载任何东西。 Except you get the authorization from the copyright holder before download, it’s tortuous to download, spread or copy the works with copyright (Files, photos, music, video, etc.). Before obtaining formal authorization, don’t download anything.

2. 不得下载或分发盗版软件和数据。不得利用公司互联网和电子邮件有意传播病毒,特洛伊木马

和陷阱程序,在使用或登录下载软件前,必须先检查病毒. Don’t download or distribute pirate software and data. Don’t spread virus, Trojan horse or pit program intentionally through company’s internet or email. You should check look up virus before use or download any software.

3. 除有明确的业务需要,不得使用公司互联网和电子邮件下载图片和图像,在任何情况下都不得下

载娱乐软件和游戏,不得在互联网使用游戏。经许可的文件转发或图像下载需避开高峰时间,因为其占用大量网络沟通时间。 You are not allowed to download photo or image except it’s with business necessary. Don’t download any software for entertainment or game in any case. Don’t play games on line. You should avoid rush hours to forward or download permissive file, because it will occupy a lot of communication time of networks.

五、上传 Upload

1. 未获得直属经理的明确授权前,不得上传任何属于公司拥有许可证的软件,数据,也不得上传

他人的资料数据。You are not allowed to upload any software and data with certification belongs to company or other personnel.

2. 互联网的安全可靠性并不足以用来转发机密和私人信息。除非有直属经理特别批准,不得进行

上述信息传递。如你使用互联网来转发敏感强的公司文件或文件时,这些文件必须使用加密软件加密,并由你的直属经理批准。The reliability of Internet is not enough to forward confidential or private information. Except you’re specially approved by the direct manager, you are not allowed to transfer the above mentioned information. If you want to forward some sensitive document through Internet, this document should be encrypted and sent out with approval of direct manager.

六、文件删除 File Delete

所有的电子邮件,即使是已被你删除,都将保留在公司的硬盘上。如果有针对公司或你的法律行为发生时,将启用这些备份。Even if some emails are deleted, they are still kept in company’s hardware. These copies will be open when some legal action is taken to the company or yourself.

七、聊天室 Chatting Room

在公司工作期间,公司将保留所有你发至任何论坛、新闻团体、聊天室或国际互联网网页的文件的版权,你所表达的观点纯属个人观点或行为,除非你被授权代表公司向媒体,分析家或公众团体发表言论。你不得向以上这些渠道发送机密的或敏感性文件。During your working period, the company will reserve all the copyright of any document you’ve published to forum, press party, chatting room or internet website. Your opinion only represents your own thinking or action, except you are authorized to publish speech by the company to the media, analyst or public. You are not allowed to send confidential or sensitive documents to the above-mentioned institutions.

八、淫秽和诽谤性言论Obscenity and Defamatory Saying

不得在公司的系统上拥有,展示,保存,储贮,编辑,记录或使用任何有明确性暗示,粗鲁的或淫秽的图片和文字。如你无意中进入含上述内容的网址,如果你收到任何此类性质的材料,请即向你的直属经理汇报。 Don’t keep, show, save, edit or use any crude or obscene photograph and words with obvious hint of sex. If you access any website concerned, or receive any information concerned, please report to your direct manager at once.

在使用互联网和电子邮件时,必须保持礼貌和对他人的尊重和信任,不得有意发表诋毁诽谤他人名誉或产品或服务的评论。When using Internet and email, you should be polite, respect and trust the others, not allowed to publish any saying that bespatter or calumniate the others’ reputation, products and service.

九、安全 Safety

公司已安装了各种防火墙,互联网地址过滤程序等系统安全装置,来确保公司网络的安全性和可靠性,并对一些网址的登陆进行限制。不允许对这些系统进行破坏。

The company has installed kinds of firewall, Internet address filtrating system and other security facilities to ensure safety and reliability of the networks, as well as limit the users to log on some websites. The employee is not allowed to destroy these facilities.

十、其他 Others

1. 所有现行公司政策都适用于国际互联网和电子邮件的使用,尤其是在处理以下方面情况:知识

产权保护,隐私,非正确使用公司资源,性骚扰,信息和数据的安全及私密性。

All the current policy is applicable for the usage of Internet and email, especially when deal with below mentioned situations: protecting intellectual property rights, keeping privacy, using company’s resource in incorrect way, preventing sexual harassment, keeping information and data be safe and confidential.

2. 公司保留以下权利以确保遵守本条款及其它规则:公司有权登录,监控,记录,检查任何及对

所有互联网和电子邮件的使用以及存储在公司网络上的文件。

The company reserves the rights of below to ensure everybody comply with this and other rules: The company has right to log on, monitor, record and check all the documents used or stored in the networks of company.

3. 公司在管理你的互联网和电子邮件时将遵守立法机构和执法机构的合理要求。

The company should obey reasonable requirements of legislative and Law enforcement agency when manage your Internet and email.

4. 本手册的规定若与劳动合同的约定不一致的,以劳动合同为准。

If this Handbook is in conflict with the Labor Contract, the Labor Contract shall prevail.

十一、违反上述规定的处理 Treatment for Disobeying Above Policy

对违反上述限制性或禁止性规定的员工,公司将进行详细的调查,并酌情给予书面警告的行政处分。

The employee who breaks abovementioned regulations of restricting or forbidding may be inspected

carefully by the company and may be warned in written according to the circumstances considered by the company.
